Terms of Use (CGU)

Article 1 – Purpose

These Terms of Use govern access to and use of Majordia (guest booklet SaaS, host area, and related services). Publisher: see Legal Notice. User: in particular the Host (account) and the Guest (booklet). The Host remains solely responsible for the content they publish.

Article 2 – Acceptance and Changes

Use of the Service constitutes acceptance of these Terms of Use. Majordia may amend them; in the event of a material change, the Host will be informed before the effective date (generally 15 days). The consumer Host may terminate without charge before that date; continued use after the effective date constitutes acceptance.

Article 3 – Service

Majordia provides an online platform (booklets, modules, invoicing, options depending on the plan). The features, limits, and prices are those displayed on Pricing and in the application at the time of use. The Service is provided subject to availability, without any guarantee of uninterrupted operation.

Article 4 – Account

The Host provides accurate information and keeps their login credentials confidential; they are responsible for use of their account. If compromise is suspected: [email protected].

Account deletion may be requested in the settings. If a trial or subscription period is ongoing, effective deletion will generally occur at its expiry; otherwise, it may be immediate. Data associated with the account is processed in accordance with the privacy policy.

Article 5 – Use and Content

The User must comply with the law and the rights of third parties. The following are prohibited in particular: unlawful or misleading content, attacks on systems, and fraudulent use.

Notice and takedown (LCEN). Any notification of manifestly unlawful content must be sent to [email protected] together with the notifier’s identity, the location of the content, the grounds for the notification, and a sworn statement of accuracy. Majordia processes serious requests within a reasonable time.

Article 6 – Intellectual Property

Majordia remains the owner of its elements (software, trademark, interface). The Host retains ownership of their content and grants Majordia a limited license for hosting and the technical operation of the Service.

Article 7 – Personal Data

Processing carried out by Majordia on its own behalf (host account, invoicing, website) is described in the Privacy Policy.

For Guests’ data relating to the booklet and orders, the Host is generally the data controller and Majordia the processor (Article 28 GDPR). A DPA is available for download in Settings → Security or upon request at [email protected]. Travelers may consult the Privacy Policy to understand Majordia’s role and exercise their rights; for data under the Host’s responsibility, they should first contact the Host.

Article 8 – Availability and Liability

Majordia is bound by an obligation of means. Maintenance operations may result in temporary unavailability.

To the extent permitted by law, Majordia shall not be liable for indirect damages. Its aggregate liability is, unless mandatory law provides otherwise, capped at the amounts paid by the Host during the 12 months preceding the event giving rise to liability. Links to third-party services do not engage Majordia’s liability.

Article 9 – Suspension and Termination

In the event of a serious breach (fraud, illegality, security breach), Majordia may suspend or terminate access. The Host may close their account in accordance with Article 4 and, for the subscription, Article 7 of the Terms of Sale.

Terms of Sale (CGV)

Article 1 – Purpose

These Terms of Sale govern Majordia’s paid subscriptions and commercial services. The Lite plan is governed solely by the Terms of Use; any move to a paid plan constitutes acceptance of the Terms of Sale.

Article 2 – Territory and Eligibility

The Service is provided online and may be subscribed to from the European Economic Area (EEA), Switzerland, the United Kingdom, and more generally from any country where the payment provider accepts the transaction, subject to legal or technical restrictions (including sanctioned countries or provider unavailability).

Prices are expressed in euros (EUR). For a customer whose bank account is not denominated in euros, conversion and any bank charges are the responsibility of their bank.

Physical QR code materials (optional shipment): delivery depends on the delivery country indicated when ordering or in the account area (two-letter ISO country code). Delivery times, shipping fees, and covered zones are shown at checkout. Outside the offered zones, Majordia does not undertake free shipping or guarantee the availability of the equipment; the digital Service remains usable.

Article 3 – Offers and Pricing

Plans, prices, free trial, options, and limits: Pricing and the payment screen, which prevail over any marketing summary. Prices in euros (EUR), all taxes included.

Majordia benefits from the VAT exemption threshold (Article 293 B of the French General Tax Code): no VAT is charged; VAT-inclusive price = VAT-exclusive price on the displayed prices.

A trial may be offered upon the first paid subscription; a later plan change does not open a new trial.

Majordia may change its prices for the future; the impact on an ongoing subscription is notified for the next renewal date.

Article 4 – Order

The contract is formed upon validation of the order and acceptance of payment. A Stripe invoice (PDF via the customer portal or confirmation email) is made available through the Invoicing area or the Stripe customer portal; where applicable, an additional invoice may be issued via Pennylane.

Article 5 – Payment and Invoicing

Payments and subscriptions via Stripe. Majordia is under the VAT exemption threshold (Article 293 B of the French General Tax Code): no VAT is charged. Each invoice bears the mention “VAT not applicable, Article 293 B of the French General Tax Code”.

Invoicing is in advance, monthly or annually. PDF invoices: Stripe (email and customer portal); where applicable, additional invoice via Pennylane. History and payment method: Stripe customer portal (link from Invoicing or Settings). In the event of payment failure, reminders and, where applicable, temporary access restrictions may apply until the situation is regularized.

If the legal thresholds for the exemption are exceeded, Majordia may become subject to VAT; these Terms of Sale will then be updated accordingly.

Accommodations and plan changes

  • Adding an accommodation during a period: billed pro rata until the renewal date.
  • Removal: immediate effect on the product side, without refund for the current period; the invoice decreases at the next renewal.
  • Plan change: according to the amounts and dates confirmed on screen (billing portal). A move to the Individual plan may be refused as long as the account does not meet the displayed limits (accommodations, direct PMS, team, etc.).

Article 5 bis – Refunds

5 bis.1 Principles

Majordia acts as a technical intermediary for traveler payments: it is not the seller of the service (see Art. 8.1). In the event of a refund of a traveler sale, the amount is returned to the Traveler via Stripe; the portion already paid out to the Host’s IBAN is automatically reversed (Connect reversal). The original sales invoice remains accessible under Art. 8.8.

5 bis.2 Commission and Fees

In the event of a full or partial refund of a traveler sale, the Majordia commission (2%) is returned proportionally to the refunded amount. Stripe fees applied to the original transaction are generally not refunded by the payment provider (see Art. 8.3).

For Majordia sales (subscription, add-ons, plates), an exceptional refund may give rise to a credit note (Stripe credit note) visible in the customer portal.

5 bis.3 Bank Disputes (Chargebacks)

If a Traveler disputes a payment with their bank, Majordia and the Host concerned are informed. Majordia may recover the portion already paid out to the Host through Stripe Connect mechanisms. The Host remains responsible for the service sold and cooperates with Majordia to provide any useful supporting documents.

Article 6 – Right of Withdrawal

Majordia is established in France; French consumer law applies first and foremost.

The consumer generally has 14 days to withdraw (Articles L221-18 et seq. of the French Consumer Code), without giving any reason.

For digital services whose performance begins before the end of that period, the right may not apply if the consumer has requested immediate performance and expressly waived their right of withdrawal (Article L221-28). This waiver is collected when activating a paid subscription (dedicated checkbox, timestamp recorded on the payment session).

Consumers in the EEA: they also benefit, where applicable, from the more favorable mandatory provisions of their country of residence.

A complaint may be made via the Service-Public information sheet on the right of withdrawal, the DGCCRF model form, or [email protected] while the withdrawal period is still open. For physical goods (plates), the applicable regime (14 days from receipt, return costs, condition of the product) is indicated at checkout.

6.1 Traveler Services (booklet shop)

The services sold by the Host to the Traveler (order and payment via the booklet) are generally performed on demand (service date, immediate or on-site delivery). The 14-day right of withdrawal may not apply where the service has been fully performed before the end of the period with the consumer’s consent (Article L221-28). The Traveler may nevertheless request a refund from the Host via Majord’IA or support; the Host decides in light of their commercial policy and these Terms of Sale (Art. 5 bis).

Article 7 – Subscription

Monthly or annual subscription, automatically renewed unless terminated before the renewal date. For annual subscriptions, a reminder may be sent a few days before renewal.

Termination is possible via the billing portal or by deleting the account: effective at the end of the current period, without refund for periods already started (including options and add-ons).

Article 8 – Traveler Sales and Commission

8.1 Who sells what

The Host sells to the Traveler (breakfast, cleaning, late checkout, etc.). Majordia provides the online ordering and payment tool. The sales contract is concluded between the Host and the Traveler; Majordia is not the seller of the traveler service.

8.2 Majordia Commission (2%)

On each sale paid by a Traveler through the booklet shop, Majordia receives a 2% commission of the amount paid, in consideration for providing the payment and intermediation module. Under the VAT exemption threshold (Article 293 B of the French General Tax Code), this commission is outside the scope of VAT.

8.3 Stripe Fees (borne by the Host)

The payment provider’s Stripe fees (approximately 1.5% + €0.25 per standard European card transaction, according to Stripe’s pricing) are separate from the Majordia commission and are borne by the Host. They are deducted at the same time as the commission from the Traveler’s payment. Majordia receives only its net 2% commission; the total amount of the traveler sale does not form part of Majordia’s revenue.

Indicative example (EEA card, €20 sale): Majordia commission €0.40 + Stripe fees ~€0.55 → approximately €19.05 paid out to the Host’s IBAN.

8.4 Settlement Method

The commission is paid by automatic deduction from each traveler payment, before the balance is paid out to the Host’s IBAN. For each paid sale, the Host has access in Paid Services to three types of documents (where applicable):

  • Invoice — PDF in the Host’s name, identical to the Traveler’s copy (legal Host → Traveler sale);
  • Pay-out statement — internal Host PDF: amount collected, Majordia commission (2%), Stripe fees, net amount paid to the Connect account (this document is not an invoice and does not replace the sales invoice);
  • Stripe receipt — additional link from the payment provider where available.

The Traveler may download the invoice from the booklet (order history). The Host may export invoices for a month from Invoicing → Paid Services. An aggregated monthly commission statement (rolling 12 months) remains available in the same section, separate from the per-sale documents.

8.5 Supporting Documents

For each paid sale: the PDF invoice (via Majordia, in the Host’s name) and, where applicable, the Stripe receipt or invoice. These documents relate to the traveler sale; they are separate from Majordia subscription invoices (Stripe / Pennylane, see Arts. 4 and 5). The pay-out statement per sale is used for the Host’s internal accounting (commission and fees breakdown); the monthly commission statement constitutes the aggregated supporting document for the 2% commission. A professional Host may request an annual summary at [email protected].

8.6 Host Tax Treatment

The Host remains solely responsible for their sales to Travelers (price, invoicing to the Traveler, VAT where applicable on their own service). Majordia generates the PDF invoice on behalf of the Host when their billing profile is complete (Invoicing → Address and legal identity); Majordia is not the seller of the upsell services. The document bears the mention “Document issued via Majordia on behalf of the seller.” If the profile is incomplete, the invoice and pay-out statement may be unavailable even though a Stripe receipt may remain accessible where applicable.

8.7 Pay-out Statement (per sale)

The pay-out statement is a PDF document reserved for the Host, generated by Majordia after each paid sale. It details: amount collected (VAT included), Majordia commission (2%), Stripe fees (actual amount or estimate), any refund, and net amount paid to the Connect account. It includes the statement that it is not an invoice and refers to the sales invoice (Art. 8.4). It must not be sent to the Traveler as proof of sale.

8.8 Referral Program

Optional program (gift card or similar benefit), subject to the cumulative conditions displayed in the Service (guest code, host account creation, paid subscription after trial, absence of fraud). Majordia may modify or discontinue the program for the future. Claims: [email protected].

8.9 Traveler Refunds

The Host may refund a paid order in full or in part from Paid Services. Majordia sends the refund order to Stripe with reversal of the payout to the Host’s IBAN. The Traveler receives a refund receipt from the payment provider; Majordia may send a summary email. The original sales invoice remains downloadable in Paid Services and, where applicable, in the traveler booklet, with a refund mention for the full or partial amount where applicable. Refunds initiated directly from the Stripe Dashboard without going through Majordia may not be automatically reflected in the Service when multiple orders share the same charge.

8.10 Stripe Connect Account

To receive traveler payments, the Host must complete the Stripe Connect onboarding (connected account). On that occasion, the Host accepts the Stripe Connected Account Agreement and the Stripe Services Agreement (stripe.com/legal/connect-account). Majordia is not a party to this contract between the Host and Stripe. Traveler payment data is processed by Stripe in accordance with the Stripe Privacy Policy.

8.11 VAT on Traveler Sales

When Stripe Tax is enabled for the Host’s Connect account, applicable VAT may be calculated automatically according to the nature of the service (e.g. food and beverage, wellness) and the location (in particular the Traveler’s billing address and the place of performance). Prices displayed in the booklet are VAT included; the VAT-exclusive amount and VAT breakdown appear on the PDF invoice and/or on the Stripe document when available. If Stripe Tax is not configured, if the Host falls under the exemption threshold regime, or if the breakdown could not be calculated, the invoice may be issued without a VAT-exclusive/VAT breakdown, with wording adapted to the seller’s tax regime.

Article 9 – Equipment

Physical QR code materials or plaques may be offered depending on the plan and the conditions displayed. Indicative delivery times are shown in the interface. Goods are subject to the applicable legal warranties. The Host is responsible for installation and maintenance.

Article 10 – Claims

Claims: [email protected]. Support is provided in French; requests written in English are accepted within a reasonable time. The consumer should, in principle, contact Majordia before referring the matter to a mediator.

10.1 Consumer Mediation

Consumers may free of charge use a consumer mediator in accordance with articles L612-1 et seq. of the French Consumer Code. Competent body: MÉDIATION CONSOMMATION DÉVELOPPEMENT — https://www.medconsodev.eu — [email protected]. Directory of mediation bodies in the EU (Consumer Redress Portal): consumer-redress.ec.europa.eu.

Professional clients: French Commercial Code applies; late-payment penalties may apply in the event of non-payment.

Article 11 – Governing Law

These Terms of Use and Terms of Sale are governed by French law.

For consumers established in the EEA, the mandatory consumer protection provisions of their country of residence may apply; the courts of their domicile may have jurisdiction according to the applicable legal rules.

For professional clients, unless otherwise agreed in writing, the courts within the jurisdiction of Majordia’s registered office (Paris) shall have jurisdiction, subject to mandatory public policy rules.

Common Provisions

Majordia’s electronic records may serve as evidence within the limits permitted by law. If any clause is void, the others shall remain in force. Failure to exercise a right on a particular occasion shall not constitute a waiver.
